Terms of Service

Team-E provides long-arc consulting in three disciplines: IT Infrastructure, Intellectual Property and Augmented Intelligence. Specific scope, schedule, deliverables and fees are set in each client's separate service contract, which prevails over these Terms.

Site content (including bot conversations, articles, case descriptions) is general information only and is not legal, accounting, tax, financial or other professional advice. For material business decisions, consult a professional appropriate to your situation.

(a) Site content: text, images, design, code and trademarks (including the "Team-E" / "天易顧問" marks) are owned by Team-E or its licensors and protected under Hong Kong and international copyright and trademark law. Except as expressly permitted, no reproduction, modification, distribution or commercial use is allowed without written consent.

(b) Client material and deliverables: ownership of client material, documents and trade secrets stays with the client. The rights to bespoke deliverables follow the individual service contract; absent express agreement, the economic rights in the deliverable belong to the client, with Team-E retaining a non-commercial right to display the work as a case (with consent or anonymised).

The Site and Services are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Team-E disclaims all express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that:

• The Site is continuously available, uninterrupted, error-free;
• The Services achieve the business outcome you expect (consulting outcomes depend on factors outside our control);
• Third-party services (Cloudflare, Typebot, etc.) remain available.

To the maximum extent permitted by law, Team-E is not liable to you or any third party for any indirect, incidental, special, punitive or consequential loss (including but not limited to loss of profit, business interruption, data loss, loss of goodwill) arising out of use of the Site or Services, regardless of whether the possibility of such loss has been advised.

For direct loss, Team-E's aggregate liability is capped at the total service fees actually paid to Team-E by that client in the 12 months preceding the dispute event. For non-paying users (general site visitors) the cap is HKD 1,000.

When using the Site you agree not to:

• Use the Site for any unlawful, fraudulent or harmful purpose;
• Attempt to penetrate, crack or bypass any security or access control;
• Reverse-engineer, decompile or extract the Site's source code;
• Use crawlers, bots or automated means to scrape content at scale (reasonable RSS / sitemap fetch excepted);
• Transmit viruses, malicious code or interfere with normal operation;
• Impersonate Team-E or its staff.

On breach, Team-E may terminate access immediately and pursue legal remedies.

The Site may contain links to third-party sites or services (e.g. LinkedIn, Instagram, Threads, X, Facebook, YouTube). Team-E is not responsible for their content, privacy practices or policies. Your use of such services is governed by their own terms.

Specific fees, payment schedules and refund policy follow the individual service contract. General principles:

• All fees are quoted in HKD, exclusive of Hong Kong profits tax or other statutory charges;
• Late payment may attract interest as permitted by law (unless the contract provides otherwise);
• Deposits are generally non-refundable (unless the contract provides otherwise).

(a) Site access: Team-E may terminate or restrict any user's access at any time without prior notice (especially for breach of these Terms).

(b) Service contract: termination follows the contract terms. Generally either party may terminate on 30 days' written notice; on a material breach, the non-breaching party may terminate immediately.

Sections of these Terms relevant to termination (including Sections 2, 3, 4, 9, 10) survive termination.

These Terms are governed by, and shall be construed in accordance with, the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

For any dispute, claim or disagreement arising out of these Terms or the Services, the parties shall first negotiate in good faith. Failing resolution, the parties submit to the exclusive jurisdiction of the courts of the Hong Kong SAR.

Team-E reserves the right to amend these Terms at any time. Material changes will be posted on the Site and (where applicable) emailed to clients with active engagements. Changes take effect 30 days after posting; continued use means acceptance. If you do not agree, stop using the Site and request deletion of your personal data (per Privacy Policy Section 8).

(a) Entire agreement: these Terms (together with the Privacy Policy and any service contract) form the entire agreement between you and Team-E on the subject and supersede all prior oral or written agreements.

(b) Severability: if any provision is held invalid or unenforceable, the remaining provisions stay in effect.

(c) Waiver: failure to exercise any right is not a waiver of that right.

(d) Force majeure: neither party is liable for delay or non-performance caused by force majeure events such as natural disasters, war, government order, network outage or third-party service interruption.

(e) Notices: all written notices must be sent to [email protected] and acknowledged by the recipient to be effective.
